  583. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THE SOFTWARE.
  584. BY INSTALLING AND USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE 
  585. TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  586. AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. PROMPTLY RETURN,

  588. ACCOMPANYING ITEMS TO THE PLACE OF ACQUISITION FOR A REFUND.

  590. This is a legal agreement between you and Creative Technology Ltd. 
  591. and its subsidiaries ("Creative"). This Agreement states the terms 
  592. and conditions upon which Creative offers to license the software 
  593. sealed in the disk package together with all related documentation 
  594. and accompanying items including, but not limited to, the 
  595. executable programs, drivers, libraries and data files associated 
  596. with such programs (collectively, the "Software").
  597.  
  598. LICENSE
  599. 1.    Grant of License
  600.       The Software is licensed, not sold, to you for use only 
  601.       under the terms of this Agreement. You own the disk or other 
  602.       media on which the Software is originally or subsequently 
  603.       recorded or fixed; but,as between you and Creative (and, to 
  604.       the extent applicable, its licensors), Creative retains all 
  605.       title to and ownership of the Software and reserves all 
  606.       rights not expressly granted to you. The license under this 
  607.       Section 1 is conditioned upon your compliance with all of 
  608.       your obligations under this Agreement. Creative grants to you 
  609.       the right to use all or a portion of this Software provided that 
  610.       (a)  the Software is not distributed for profit; 
  611.       (b)  the Software is used only in conjunction with Creative's 
  612.            family of products; 
  613.       (c)  the Software may NOT be modified;
  614.       (d)  all copyright notices are maintained on the Software; and 
  615.       (e)  the licensee/end-user agrees to be bound by the terms of 
  616.            this agreement. 
  617.  
  618. 2.    For Use on a Single Computer
  619.       The Software may be used only on a single computer by a 
  620.       single user at any time. You may transfer the machine-readable 
  621.       portion of the Software from one computer to another computer, 
  622.       provided that 
  623.       (a)  the Software (including any portion or copy thereof) is 
  624.            erased from the first computer and 
  625.       (b)  there is no possibility that the Software will be used on 
  626.            more than one computer at a time.
  627.  
  628. 3.    Stand-Alone Basis
  629.       You may use the Software only on a stand-alone basis, such 
  630.       that the Software and the functions it provides are accessible 
  631.       only to persons who are physically present at the location of the 
  632.       computer on which the Software is loaded. You may not allow the 
  633.       Software or its functions to be accessed remotely, or transmit 
  634.       all or any portion of the Software through any network or 
  635.       communication line.
  636.  
  637. 4.    Copyright
  638.       The Software is owned by Creative and/or its licensors and is 
  639.       protected by United States copyright laws and international 
  640.       treaty provisions. You may not remove the copyright notice 
  641.       from any copy of the Software or any copy of the written 
  642.       materials, if any, accompanying the Software.
  643.  
  644. 5.    One Archival Copy
  645.       You may make one (1) archival copy of the machine-readable 
  646.       portion of the Software for backup purposes only in support 
  647.       of your use of the Software on a single computer, provided 
  648.       that you reproduce on the copy all copyright and other 
  649.       proprietary rights notices included on the originals of the 
  650.       Software.
  651.  
  652. 6.    No Merger or Integration
  653.       You may not merge any portion of the Software into, or 
  654.       integrate any portion of the Software with, any other 
  655.       program, except to the extent expressly permitted by the 
  656.       laws of the jurisdiction where you are located. Any portion 
  657.       of the Software merged into or integrated with another 
  658.       program, if any, will continue to be subject to the terms 
  659.       and conditions of this Agreement, and you must reproduce on 
  660.       the merged or integrated portion all copyright and other 
  661.       proprietary rights notices included in the originals of 
  662.       the Software.
  663.  
  664. 7.    Network Version
  665.       If you have purchased a "network" version of the Software, 
  666.       this Agreement applies to the installation of the Software 
  667.       on a single "file server". It may not be copied onto 
  668.       multiple systems. Each "node" connected to the "file server" 
  669.       must also have its own license of a "node copy" of the 
  670.       Software, which becomes a license only for that specific 
  671.       "node".
  672.     
  673. 8.    Transfer of License
  674.       You may transfer your license of the Software, provided that 
  675.       (a)  you transfer all portions of the Software or copies 
  676.            thereof, 
  677.       (b)  you do not retain any portion of the Software or any 
  678.            copy thereof, and 
  679.       (c)  the transferee reads and agrees to be bound by the 
  680.            terms and conditions of this Agreement.

  682. 9.    Limitations on Using, Copying, and Modifying the Software
  683.       Except to the extent expressly permitted by this Agreement 
  684.       or by the laws of the jurisdiction where you acquired the 
  685.       Software, you may not use, copy or modify the Software. Nor 
  686.       may you sub-license any of your rights under this Agreement. 
  687.       You may use the software for your personal use only, and not 
  688.       for public performance or for the creation of publicly 
  689.       displayed videotapes.
  690.     
  691. 10.   Decompiling, Disassembling, or Reverse Engineering.
  692.       You acknowledge that the Software contains trade secrets and 
  693.       other proprietary information of Creative and its licensors. 
  694.       Except to the extent expressly permitted by this Agreement 
  695.       or by the laws of the jurisdiction where you are located, 
  696.       you may not decompile, disassemble or otherwise reverse 
  697.       engineer the Software, or engage in any other activities to 
  698.       obtain underlying information that is not visible to the 
  699.       user in connection with normal use of the Software.
  700.  
  701.       In particular, you agree not for any purpose to transmit the 
  702.       Software or display the Software's object code on any 
  703.       computer screen or to make any hardcopy memory dumps of the 
  704.       Software's object code. If you believe you require 
  705.       information related to the interoperability of the Software 
  706.       with other programs, you shall not decompile or disassemble 
  707.       the Software to obtain such information, and you agree to 
  708.       request such information from Creative at the address listed 
  709.       below. Upon receiving such a request, Creative shall 
  710.       determine whether you require such information for a 
  711.       legitimate purpose and, if so, Creative will provide such 
  712.       information to you within a reasonable time and on 
  713.       reasonable conditions.
  714.     
  715.       In any event, you will notify Creative of any information 
  716.       derived from reverse engineering or such other activities, 
  717.       and the results thereof will constitute the confidential 
  718.       information of Creative that may be used only in connection 
  719.       with the Software.
  720.  
  721. 11.   For Software With CDDB Features.
  722.       This application may contain software from CDDB, Inc. of 
  723.       Berkeley, California d/b/a Gracenote ("Gracenote"). The 
  724.       software from Gracenote (the "Gracenote CDDB Client") 
  725.       enables the application to do online disc identification 
  726.       and obtain music-related information, including name, 
  727.       artist, track, and title information ("Gracenote Data") 
  728.       from online servers ("Gracenote CDDB Servers") and to 
  729.       perform other functions.  You may use Gracenote Data 
  730.       only by means of the intended End User functions of the 
  731.       application software.
  732.  
  733.       You agree that you will use Gracenote Data, the Gracenote 
  734.       CDDB Client, and Gracenote CDDB Servers for your own 
  735.       personal non-commercial use only. You agree not to 
  736.       assign, copy, transfer or transmit the Gracenote CDDB 
  737.       Client or any Gracenote Data to any third party. YOU 
  738.       AGREE NOT TO USE OR EXPLOIT GRACENOTE DATA, THE 
  739.       GRACENOTE CDDB CLIENT, OR GRACENOTE CDDB SERVERS, 
  740.       EXCEPT AS EXPRESSLY PERMITTED HEREIN.

  742.       You agree that your non-exclusive license to use the 
  743.       Gracenote Data, the Gracenote CDDB Client, and Gracenote 
  744.       CDDB Servers will terminate if you violate these 
  745.       restrictions. If your license terminates, you agree to 
  746.       cease any and all use of the Gracenote Data, the 
  747.       Gracenote CDDB Client, and Gracenote CDDB Servers. 
  748.       Gracenote reserves all rights in Gracenote Data, the 
  749.       Gracenote CDDB Client, and the Gracenote CDDB Servers, 
  750.       including all ownership rights. You agree that CDDB, 
  751.       Inc. may enforce its rights under this Agreement against 
  752.       you directly in its own name.

  754.       The Gracenote CDDB Client and each item of Gracenote 
  755.       Data are licensed to you "AS IS." Gracenote makes no 
  756.       representations or warranties, express or implied, 
  757.       regarding the accuracy of any Gracenote Data from in 
  758.       the Gracenote CDDB Servers. Gracenote reserves the 
  759.       right to delete data from the Gracenote CDDB Servers 
  760.       or to change data categories for any cause that 
  761.       Gracenote deems sufficient. No warranty is made that 
  762.       the Gracenote CDDB Client or Gracenote CDDB Servers 
  763.       are error-free or that functioning of Gracenote CDDB 
  764.       Client or Gracenote CDDB Servers will be uninterrupted. 
  765.       Gracenote is not obligated to provide you with any new 
  766.       enhanced or additional data types or categories that

  770.       GRACENOTE DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED,

  772.       MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
  773.       TITLE, AND NON-INFRINGEMENT. Gracenote does not warrant 
  774.       the results that will be obtained by your use of the 
  775.       Gracenote CDDB Client or any Gracenote CDDB Server. IN NO 
  776.       CASE WILL GRACENOTE BE LIABLE FOR ANY CONSEQUENTIAL

  780. TERMINATION
  781. The license granted to you is effective until terminated. You may 
  782. terminate it at any time by returning the Software (including any 
  783. portions or copies thereof) to Creative. The license will also 
  784. terminate automatically without any notice from Creative if you 
  785. fail to comply with any term or condition of this Agreement. You 
  786. agree upon such termination to return the Software (including any 
  787. portions or copies thereof) to Creative. Upon termination, 
  788. Creative may also enforce any rights provided by law. The 
  789. provisions of this Agreement that protect the proprietary rights 
  790. of Creative will continue in force after termination.
  791.  
  792. NO WARRANTY
  793. Creative does not warrant that the functions contained in the 
  794. Software will meet your requirements or that the operation of the 
  795. Software will be uninterrupted, error-free or free from malicious 
  796. code. For purposes of this paragraph, "malicious code" means any 
  797. program code designed to contaminate other computer programs or 
  798. computer data, consume computer resources, modify, destroy,

  804. INDEMNIFICATION BY YOU
  805. If you distribute the Software in violation of this Agreement, you 
  806. hereby indemnify, hold harmless and defend Creative from and 
  807. against any and all claims or lawsuits, including attorney's fees 
  808. and costs that arise, result from or are connected with the use or 
  809. distribution of the Software in violation of this Agreement.
  810.  
  811. THE SOFTWARE IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, 
  812. EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY 
  813. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A 
  814. PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. CREATIVE IS NOT 
  815. OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL SUPPORT 
  816. FOR THE SOFTWARE.
  817.  
  818. Further, Creative shall not be liable for the accuracy of any 
  819. information provided by Creative or third party technical support 
  820. personnel, or any damages caused, either directly or indirectly, 
  821. by acts taken or omissions made by you as a result of such 
  822. technical support.
  823.  
  824. You assume full responsibility for the selection of the Software 
  825. to achieve your intended results, and for the installation, use 
  826. and results obtained from the Software. You also assume the entire 
  827. risk as it applies to the quality and performance of the Software. 
  828. Should the Software prove defective, you (and not Creative, or its 
  829. distributors or dealers) assume the entire cost of all necessary 
  830. servicing, repair or correction.
  831.  
  832. Some countries/states do not allow the exclusion of implied 
  833. warranties, so the above exclusion may not apply to you. Creative 
  834. disclaims all warranties of any kind if the Software was customized, 
  835. repackaged or altered in any way by any third party other than 
  836. Creative.

  838. LIMITATION OF REMEDIES AND DAMAGES
  839. IN NO EVENT WILL CREATIVE OR ITS LICENSORS BE LIABLE FOR ANY 
  840. INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR 
  841. ANY BODILY INJURY (INCLUDING DEATH) TO ANY PERSONS CAUSED BY 
  842. CREATIVE'S NEGLIGENCE, OR FOR ANY LOST PROFITS, LOST SAVINGS, 
  843. LOSS OF USE, LOST REVENUES OR LOST DATA ARISING FROM OR RELATING 
  844. TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF CREATIVE OR ITS 
  845. LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
  846. IN NO EVENT WILL CREATIVE'S LIABILITY OR DAMAGES TO YOU OR ANY 
  847. OTHER PERSON EVER EXCEED THE AMOUNT PAID BY YOU TO USE THE 
  848. SOFTWARE, REGARDLESS OF THE FORM OF THE CLAIM.

  850. Some countries/states do not allow the limitation or exclusion of 
  851. liability for incidental or consequential damages, so the above 
  852. limitation or exclusion may not apply to you.

  854. PRODUCT RETURNS
  855. IF YOU MUST SHIP THE SOFTWARE TO CREATIVE OR AN AUTHORIZED 
  856. Creative DISTRIBUTOR OR DEALER, YOU MUST PREPAY SHIPPING AND 
  857. EITHER INSURE THE SOFTWARE OR ASSUME ALL RISK OF LOSS OR DAMAGE 
  858. IN TRANSIT.

  860. U.S. GOVERNMENT RESTRICTED RIGHTS
  861. All Software and related documentation are provided with 
  862. restricted rights. Use, duplication or disclosure by the U.S. 
  863. Government is subject to restrictions as set forth in subdivision 
  864. (b)(3)(ii) of the Rights in Technical Data and Computer Software 
  865. Clause at 252.227-7013. If you are sub-licensing or using the 
  866. Software outside of the United States, you will comply with the 
  867. applicable local laws of your country, U.S. export control law, 
  868. and the English version of this Agreement.

  877. GENERAL
  878. This Agreement is binding on you as well as your employees, 
  879. employers, contractors and agents, and on any successors and 
  880. assignees. Neither the Software nor any information derived 
  881. therefrom may be exported except in accordance with the laws of 
  882. the U.S. or other applicable provisions. This Agreement is governed 
  883. by the laws of the State of California (except to the extent federal 
  884. law governs copyrights and federally registered trademarks). This 
  885. Agreement is the entire agreement between us and you agree that 
  886. Creative will not have any liability for untrue statement or 
  887. representation made by it, its agents or anyone else (whether 
  888. innocently or negligently) upon which you relied upon entering this 
  889. Agreement, unless such untrue statement or representation was made 
  890. fraudulently. This Agreement supersedes any other understandings or 
  891. agreements, including, but not limited to, advertising, with 
  892. respect to the Software. If any provision of this Agreement is 
  893. deemed invalid or unenforceable by any country or government agency 
  894. having jurisdiction, that particular provision will be deemed 
  895. modified to the extent necessary to make the provision valid and 
  896. enforceable, and the remaining provisions will remain in full force 
  897. and effect.

  903. This package may include software with DVD-Audio functionality for 
  904. you to play content-protected DVD-Audio discs. The functionality 
  905. of this Software may be lost if the content protection system is 
  906. compromised. In this event, your sole remedy to restore such 
  907. functionality is to download a product update from Creative's 
  908. website, of if you do not have internet access, Creative will use 
  909. commercially reasonable means to provide replacement software.

  911. ADDENDUM TO THE MICROSOFT SOFTWARE LICENSE AGREEMENT
  912. ====================================================
  913. IMPORTANT: By using the Microsoft software files (the "Microsoft 
  914. Software") provided with this Addendum, you are agreeing to be 
  915. bound by the following terms. If you do not agree to be bound by 
  916. these terms, you may not use the Microsoft Software.
  917.  
  918. The Microsoft Software is provided for the sole purpose of 
  919. replacing the corresponding files provided with a previously 
  920. licensed copy of the Microsoft software product ("ORIGINAL 
  921. PRODUCT"). Upon installation, the Microsoft Software files become 
  922. part of the ORIGINAL PRODUCT and are subject to the same warranty 
  923. and license terms and conditions as the ORIGINAL PRODUCT. If you do 
  924. not have a valid license to use the ORIGINAL PRODUCT, you may not 
  925. use the Microsoft Software. Any other use of the Microsoft Software 
  926. is prohibited.

  928. Nothing in this Agreement shall be construed on the part of 
  929. Creative as advocating or authorizing the infringement of local 
  930. and/or international laws applicable to your jurisdiction.

  932. DRM ADDENDUM TO THE MICROSOFT WMFSDK9 SERIES AGREEMENT
  933. ======================================================
  934. Content providers are using the Microsoft digital rights management 
  935. technology for Windows Media distributed with this software ("WM-DRM") 
  936. to protect the integrity of their content ("Secure Content") so that 
  937. their intellectual property, including copyright, in such content is 
  938. not misappropriated.  Portions of this software and other third party 
  939. applications use WM-DRM to play Secure Content ("WM-DRM Software"). 
  940. If the WM-DRM Software's security has been compromised, owners of 
  941. Secure Content ("Secure Content Owners") may request that Microsoft 
  942. revoke the WM-DRM Software's right to copy, display and/or play 
  943. Secure Content. Revocation does not alter the WM-DRM Software's 
  944. ability to play unprotected content. A list of revoked WM-DRM 
  945. Software is sent to your computer whenever you download a license 
  946. for Secure Content from the Internet. Microsoft may, in conjunction 
  947. with such license, also download revocation lists onto your computer 
  948. on behalf of Secure Content Owners. Secure Content Owners may also 
  949. require you to upgrade some of the WM-DRM components distributed 
  950. with this software ("WM-DRM Upgrades") before accessing their content. 
  951. When you attempt to play such content, WM-DRM Software built by 
  952. Microsoft will notify you that a WM-DRM Upgrade is required and then 
  953. ask for your consent before the WM-DRM Upgrade is downloaded. 
  954. Non-Microsoft WM-DRM Software may do the same. If you decline the 
  955. upgrade, you will not be able to access content that requires the 
  956. WM-DRM Upgrade; however, you will still be able to access unprotected 
  957. content and Secure Content that does not require the upgrade. WM-DRM 
  958. features that access the Internet, such as acquiring new licenses 
  959. and/or performing a required WM-DRM Upgrade, can be switched off. 
  960. When these features are switched off, you will still be able to play 
  961. Secure Content if you have a valid license for such content already 
  962. stored on your computer.

  964. SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION
  965. ===================================================
  966. If you acquired the Software in the European Union (EU), the 
  967. following provisions also apply to you. If there is any 
  968. inconsistency between the terms of the Software License Agreement 
  969. set out EARLIER and IN the following provisions, the following 
  970. provisions shall take precedence.

  972. Decompilation
  973. You agree not for any purpose to transmit the Software or display 
  974. the Software's object code on any computer screen or to make any 
  975. hard copy memory dumps of the Software's object code. If you 
  976. believe you require information related to the interopretability 
  977. of the Software with other programs, you shall not decompile or 
  978. disassemble the Software to obtain such information, and you agree 
  979. to request such information from Creative at the address listed 
  980. earlier. Upon receiving such a request, Creative shall determine 
  981. whether you require such information for a legitimate purpose and, 
  982. if so, Creative will provide such information to you within a 
  983. reasonable time and on reasonable conditions.

  985. Limited Warranty
  986. EXCEPT AS STATED EARLIER IN THIS AGREEMENT, AND AS PROVIDED UNDER 
  987. THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS PROVIDED AS-IS 
  988. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, 
  989. BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF 
  990. MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, 
  991. TITLE OR NONINFRINGEMENT.

  993. Limitation of Remedy and Damages
  994. THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE LICENSE 
  995. AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY (INCLUDING DEATH) TO 
  996. ANY PERSON CAUSED BY CREATIVE'S NEGLIGENCE AND ARE SUBJECT TO THE 
  997. PROVISION SET OUT UNDER THE HEADING "STATUTORY RIGHTS".
  998.  
  999. Statutory rights
  1000. Irish law provides that certain conditions and warranties may be 
  1001. implied in contracts for the sale of goods and in contracts for the 
  1002. supply of services. Such conditions and warranties are hereby 
  1003. excluded, to the extent such exclusion, in the context of this 
  1004. transaction, is lawful under Irish law. Conversely, such conditions 
  1005. and warranties, insofar as they may not be lawfully excluded, shall 
  1006. apply. Accordingly nothing in this Agreement shall prejudice any 
  1007. rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 
  1008. of the Irish Sale of Goods Act 1893 (as amended).
  1009.  
  1010. General
  1011. This Agreement is governed by the laws of the Republic of Ireland. 
  1012. The local language version of this agreement shall apply to 
  1013. Software acquired in the EU. This Agreement is the entire agreement 
  1014. between us, and you agree that Creative will not have any liability 
  1015. for any untrue statement or representation made by it, its agents 
  1016. or anyone else (whether innocently or negligently) upon which you 
  1017. relied upon entering this Agreement, unless such untrue statement 
  1018. or representation was made fraudulently.
  1019.  
  1020. Copyright Information for users of Creative products
  1021. Certain Creative products are designed to assist you in reproducing 
  1022. material for which you own the copyright or are authorized to copy 
  1023. by the copyright owner or by exemption in applicable law. Unless 
  1024. you own the copyright or have such authorization, you may be 
  1025. violating copyright law and may be subject to payment of damages 
  1026. and other remedies. If you are uncertain about your rights, you 
  1027. should contact your legal advisor. It is your responsibility when 
  1028. using a Creative product to ensure there is no infringement of 
  1029. applicable laws on copyright whereby the copying of certain 
  1030. materials may require the prior consent of the copyright owners. 
  1031. Creative disclaims any liability with regard to any illegal use of 
  1032. the Creative product and Creative shall in no event be liable with 
  1033. regard to the origin of any data stored in a compressed audio file. 
  1034. You acknowledge and agree that the exportation or use of MP3 Codecs 
  1035. in real-time broadcasting (terrestrial, satellite, cable or other 
  1036. media) or broadcasting via Internet or other networks, such as but 
  1037. not limited to intranets etc., in pay-audio or pay-on-demand 
  1038. applications, is not authorized and/or licensed (see also 
  1039. http://www.iis.fhg.de/amm/).
